Terms of Service

Welcome to Kallina AI. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Client") and MEGA PROMOTING S.R.L. ("Company", "we", "Kallina"), a company registered in the Republic of Moldova, IDNO: 1019600021765, with registered office at mun. Chișinău, str. Alexandru cel Bun 51, of.51, IT Park Moldova resident.

By accessing or using the Kallina AI platform, the kallina.info website, or any related services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

Within these Terms, the following terms have the meanings specified below:

• "Services" - the Kallina AI Voice platform, including AI receptionist for calls, voice assistants, APIs, and all related functionalities.
• "Platform" - the kallina.info website and all associated applications, interfaces, and tools.
• "Account" - the user account created to access the Services.
• "Personal Data" - any information relating to an identified or identifiable natural person, as per GDPR and Law 133/2011.
• "User Content" - all data, files, recordings, and information uploaded or generated through the use of Services.
• "Subscription" - the service plan selected and paid for by the User.

Kallina AI provides the following main services:

To use Kallina AI Services, you must meet the following conditions:

• Be at least 18 years old or the legal age in your jurisdiction.
• Have the legal capacity to enter into binding contracts.
• Provide accurate, complete, and up-to-date registration information.
• Maintain the confidentiality of your account credentials.
• Not be a person or entity subject to international sanctions.

Business accounts must be created by authorized representatives of the respective organization.

You agree to use the Services in compliance with all applicable laws and these Terms. The following are strictly prohibited:

• Using the Services for illegal, fraudulent, or deceptive activities.
• Transmitting illegal, defamatory, harassing, or discriminatory content.
• Attempting unauthorized access to systems or data of other users.
• Interfering with the normal operation of the Platform.
• Using for spam, phishing, or other unauthorized marketing activities.
• Reselling or sublicensing the Services without written agreement.
• Using for monitoring or recording without legal consent.
• Infringing the intellectual property rights of third parties.

Kallina AI Services are offered on a subscription basis, according to the pricing plans available on our website.

You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period.

Refund Policy:

• Trial period: Full refund within the first 14 days.
• Annual subscriptions: Pro-rata refund for unused months within the first 30 days.
• After 30 days: No refunds for partial periods.

All intellectual property rights in the Platform and Services, including but not limited to software, design, logos, trademarks, content, and documentation, belong to MEGA PROMOTING S.R.L. or its licensors.

We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms. This license does not include the right to:

• Modify, copy, or distribute our software.
• Use our trademarks without written agreement.
• Reverse engineer any component.
• Create derivative works based on our Services.

You retain all rights to User Content that you upload or generate through the Services. By using the Services, you grant us a limited license to process this content solely for providing the Services.

You are responsible for:

• The legality of uploaded content.
• Obtaining necessary consents for recordings.
• Compliance with data protection laws.
• Backing up your important data.

Personal data processing is governed by our Privacy Policy and Data Processing Agreement (DPA). We comply with:

• General Data Protection Regulation (GDPR - EU 2016/679)
• Republic of Moldova Law No. 133/2011 on personal data protection
• Upcoming Law No. 195/2024 (effective August 23, 2026)

We implement security measures compliant with ISO 27001:2022 and SOC 2 Type II standards, including:

• End-to-end encryption for all data in transit and at rest.
• Multi-factor authentication (MFA) available for all accounts.
• Continuous monitoring and intrusion detection.
• Regular security audits and penetration testing.
• Incident response procedures.

You are responsible for the security of your account credentials and must notify us immediately of any unauthorized access.

We commit to maintaining 99.9% service availability ("Uptime SLA"). This excludes:

• Scheduled maintenance (notified 48 hours in advance).
• Force majeure circumstances.
• Issues caused by external factors or third parties.

To the maximum extent permitted by law:

• Services are provided "as is" and "as available".
• We do not guarantee that Services will be uninterrupted or error-free.
• Our total liability shall not exceed the amounts paid by you in the last 12 months.
• We are not liable for indirect, special, incidental, or punitive damages.

These limitations do not affect your mandatory legal rights or our liability for gross negligence or fraudulent intent.

You agree to indemnify and hold harmless MEGA PROMOTING S.R.L., its affiliates, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the Services.
• Your violation of these Terms.
• Your violation of third-party rights.
• User Content uploaded or generated by you.

We may suspend or terminate your access to the Services:

• For violation of these Terms.
• For non-payment of fees due.
• At the request of competent authorities.
• To protect other users or our systems.

Upon termination:

• You will have 30 days to export your data.
• Data will be deleted according to our retention policies.
• Confidentiality and intellectual property obligations will survive.

We reserve the right to modify these Terms. For significant changes:

• We will notify you at least 30 days in advance.
• Notification will be made via email and/or through the platform.
• Continued use after the notification period constitutes acceptance.

The current version of the Terms is always available on our website.

These Terms are governed by the laws of the Republic of Moldova. For EU/EEA users, mandatory rights from local legislation also apply.

Any disputes will be resolved through:

1. Good faith direct negotiation (30 days).
2. Mediation through the Chamber of Commerce and Industry of the Republic of Moldova.
3. Competent courts in Chișinău, Republic of Moldova.

• Entire Agreement: These Terms, together with the Privacy Policy and DPA, constitute the entire agreement between the parties.
• Severability: If any provision is found invalid, the remainder of the Terms remain in effect.
• Waiver: Failure to exercise a right does not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our written consent.
• Force Majeure: We are not liable for failure to perform obligations due to force majeure events.
